Kanvsl AI Terms and Conditions

Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the Kanvsl AI analytics platform (the "Service") operated by Kanvsl ("us", "we", or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

1. Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

2. AI-Generated Content and Analysis

Our Service provides AI-generated insights, analytics, and recommendations based on data you provide or authorize us to collect. You understand and acknowledge that:

• 2.1. AI-generated content is provided for informational purposes only and should not be the sole basis for business decisions.
• 2.2. While we strive for accuracy, our AI systems cannot guarantee 100% accuracy, completeness, or reliability of the insights produced.
• 2.3. You are responsible for reviewing and validating AI-generated insights before implementing them in your business.
• 2.4. You retain ownership of your input data, but grant us a license to use this data to provide and improve our Service.

3. Data Usage and Privacy

In connection with your use of the Service:

• 3.1. You grant Kanvsl a non-exclusive, worldwide license to use, store, and process your data for the purpose of providing the Service, as outlined in our Privacy Policy.
• 3.2. We may use anonymized and aggregated data derived from your usage to train and improve our AI models.
• 3.3. You represent and warrant that you have all necessary rights and permissions to provide any data you upload or connect to our Service.
• 3.4. You are responsible for ensuring that your use of our Service complies with all applicable data protection and privacy laws.

4. Intellectual Property

• 4.1. The Service and its original content, features, and functionality are and will remain the exclusive property of Kanvsl and its licensors.
• 4.2. The Service is protected by copyright, trademark, and other intellectual property laws.
• 4.3. You retain all rights to your data, but we may use anonymized insights generated from such data to improve our Service.
• 4.4. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service without our explicit consent.

5. Subscription and Payments

• 5.1. Some features of the Service require a subscription plan. By selecting a subscription plan, you agree to pay the subscription fees indicated.
• 5.2. Subscription fees are charged in advance on a monthly or yearly basis, depending on your chosen billing cycle.
• 5.3. All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, which are your responsibility.
• 5.4. Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period.
• 5.5. Our refund policy is outlined in our separate Refund Policy document.

6. Service Usage Limitations

• 6.1. You may not use the Service for any illegal purpose or in violation of any local, state, national, or international law.
• 6.2. You may not use the Service to transmit any harmful code, malware, or data that may damage or disrupt the Service.
• 6.3. You may not attempt to gain unauthorized access to any portion of the Service or any systems or networks connected to the Service.
• 6.4. You may not use the Service to generate outputs that are harmful, threatening, offensive, or otherwise objectionable.
• 6.5. You are responsible for all API calls made through your account and must adhere to any rate limits or quotas specified in your subscription plan.

7. Limitations on AI Outputs

• 7.1. Our AI models are designed to produce business analytics insights. They should not be used to make decisions in high-risk areas including but not limited to health, safety, civil rights, or critical infrastructure without appropriate human oversight.
• 7.2. You agree not to use our Service to produce outputs that could reasonably be used to:
• a. Deceive, defraud, or mislead;
• b. Manipulate or engineer social outcomes;
• c. Create or distribute misinformation or disinformation;
• d. Generate content that infringes on intellectual property rights;
• e. Engage in any activity that violates applicable laws or regulations.

8. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to a breach of the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Limitation of Liability

In no event shall Kanvsl, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• 9.1. Your access to or use of or inability to access or use the Service;
• 9.2. Any conduct or content of any third party on the Service;
• 9.3. Any content obtained from the Service;
• 9.4. Business decisions made based on AI-generated insights;
• 9.5. Unauthorized access, use or alteration of your transmissions or content.

10. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Kanvsl, its subsidiaries, affiliates, and licensors do not warrant that:

• a. The Service will function uninterrupted, secure, or available at any particular time or location;
• b. Any errors or defects will be corrected;
• c. The Service is free of viruses or other harmful components;
• d. The results of using the Service will meet your requirements;
• e. AI-generated insights will be accurate or reliable for your specific business needs.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
